APEX Community Pro — Terms of Service

These Terms of Service ("Terms") govern access to and use of the APEX Community Pro website and mobile application (collectively, the "Platform"), operated by Apex Infinity Ventures, Inc. ("APEX," "we," "us," or "our"). By creating an account or using the Platform, you agree to these Terms.

1. Eligibility & Account Registration

The Platform is intended for organizations managing 6 or more units/spaces. By registering a Master Account, you certify that you are authorized to create and manage the account and to access the property information you enter, and you agree to provide accurate organization and signer information as part of our Organization Verification process. Accounts managing 10,000+ units/spaces require direct contact with APEX for custom Enterprise setup.

2. Account Roles & Responsibilities

The person or entity creating the Master Account (the "Original Primary Master Account Owner") holds ultimate administrative authority over the account. The Master Account may invite additional users (Property Managers, Office Staff, Owner/Investor viewers, and additional Master/Admin users) and is responsible for managing their access, permissions, and conduct on the Platform. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

3. The Platform's Role — Facilitation Only

APEX Community Pro is a facilitation and coordination platform connecting property managers/owners with contractors and technicians through our FieldProIQ platform. APEX is not a party to, and does not guarantee, any work performed by a contractor. Payment for repair, restoration, or maintenance work is made directly between the property owner and the contractor and is not processed through the Platform. APEX's subscription fee covers access to the Platform only.

APEX does not warrant the quality, timeliness, licensing, or insurance status of any contractor beyond the verification performed within FieldProIQ, and is not liable for damages, delays, or disputes arising from contractor work performed in connection with a request made through the Platform.

4. Subscription, Billing & Cancellation

Subscription fees are billed monthly or annually based on your organization's total unit/space count, per the pricing published on our website, and are processed through our QuickBooks integration. Your pricing tier is determined automatically by your unit/space count; if your count crosses a tier boundary, the new rate takes effect at your next renewal. If a payment fails, your account access may be suspended immediately until payment is resolved.

You may cancel your subscription at any time. Upon cancellation, your data is retained for 90 days (during which your account is otherwise inaccessible except for data export) and then permanently deleted, as described in our Privacy Policy.

5. Acceptable Use

You agree not to: use the Platform for any unlawful purpose; upload false or misleading property, tenant, or contractor information; attempt to access another Master Account's data; circumvent or interfere with the Platform's security, permission, or dispatch systems; or use the Platform to harass, defraud, or harm any contractor, tenant, or other user.

6. Data & Content

You retain ownership of the property, tenant, and job data you submit to the Platform ("Your Data"). You grant APEX a license to use Your Data solely to operate and provide the Platform, including dispatching requests to contractors and generating reports through APEX Business Intelligence. You are responsible for having any necessary rights or consents to submit tenant/resident information to the Platform, including for any tenant notification features you enable.

7. Intellectual Property

The Platform, including its software, design, and branding, is the property of Apex Infinity Ventures, Inc. and is protected by applicable intellectual property laws. These Terms do not grant you any rights to APEX's trademarks, logos, or branding.

8. Termination

APEX may suspend or terminate your account for violation of these Terms, non-payment, or suspicious/fraudulent signup activity identified during Organization Verification review. You may terminate your account at any time by canceling your subscription.

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, APEX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Platform or any contractor work coordinated through it.

11. Indemnification

You agree to indemnify and hold harmless Apex Infinity Ventures, Inc. from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or content/data you submit to the Platform.

12. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising from these Terms or the Platform shall be resolved in the state or federal courts located in Orange County, Florida.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes via the Platform or email. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
